    LETTER OF AGREEMENT
    between
    NORTHWEST AIRLINES, INC.
    and
    FLIGHT ATTENDANTS
    in the service of
    NORTHWEST AIRLINES, INC.
    as represented by
    ASSOCIATION OF FLIGHT ATTENDANTS - CWA, AFL-CIO


    THIS AGREEMENT is entered into by and between Northwest Airlines, Inc., a
    Minnesota Corporation (the "Company") and the Flight Attendants in the
    service of Northwest Airlines, Inc., as represented by the Association of Flight
    Attendants - CWA, AFL-CIO (the "Union").
    WHEREAS, during contract negotiations, the Company expressed interest in
    the establishment of "Satellite Bases" at locations outside of present
    established bases
    NOW, THEREFORE, it is agreed that:
    1. Participation in the program is voluntary. No Flight Attendant shall be
    required to engage in Satellite Base Flying.
    2. Assignment and awards to Satellite Bases shall be based on system
    seniority.
    3. The Company and Union shall meet to determine the length of the
    commitment period for Satellite Base assignment. However, the
    standard length of commitment to a Satellite Base shall be no less than
    three (3) months and no longer than six (6) months.
    4. Based on the number of Flight Attendants requesting voluntary
    assignment to a Satellite Base, the Company shall then determine the
    flying that shall be allocated to such base.
    5. Flight Attendants awarded an assignment to a Satellite Base shall
    maintain their last base as their Home Base, and shall bid for vacation,
    Company convenience leaves, base transfers, and training at such
    Home Base, based on their seniority at that base.
    6. All administrative functions related to a Flight Attendant assigned to a
    Satellite Base shall be conducted out of his/her Home Base. The
    Company and Union shall meet and confer to review which, if any, local
    facilities can be made available in each Satellite station. However, the
    Company shall not be required to provide any specific Flight Attendant
    facilities, lounges, computers, mailboxes or any other administrative
    infrastructure at a Satellite Base.
    7. The Company shall determine the location of each Satellite Base. It is
    agreed that:
    a. All locations shall be within the fifty (50) United States.
    b. The operation of a Satellite Base may be seasonal. For example,
    flying may be patterned out of a particular station only during the
    winter.
    c. The Company shall have the right to close a Satellite Base at any time.
    However, in the event of such occurrence, Flight Attendants at such
    a base shall be returned to the roster at their Home Base. Should the
    closure occur following the monthly bid award process, such Flight
    Attendant shall have the time available option at his/her Home Base
    as specified in Sections 5 (Hours of Service) and 6 (Scheduling) of
    the Agreement. (A Flight Attendant who declines time availability
    shall be paid for hours flown and credited. A Flight Attendant who
    accepts time availability may bid for flying at his/her Home Base as a
    Category 1.)
    8. The Company and Union shall meet to develop the full details required
    to establish Satellite Base Flying. Such details include, but are not
    limited to:
    a. A timeline for notifying eligible Flight Attendants of the availability of
    such flying.
    b. A process for determining which Flight Attendants would be eligible
    to bid for Satellite Base assignments.
    c. A timeline for the Company to determine whether there are sufficient
    voluntary requests to cover the flying at a Satellite Base.
    d. The procedures for bidding, awarding, and assigning Satellite Base
    Flying during the monthly PBS bid process, including:
    (1) The viability of completing monthly schedules using regular
    patterns from the "Home Base";
    (2) The process for filling Purser positions and Language of
    Destination positions on Satellite Flying patterns; and
    (3) The award and/or assignment of Satellite Base reserve duty or
    Satellite Base time available days within a Satellite Base.
    e. The procedures for line adjustments during a month for Flight
    Attendants who hold lines which contain Satellite Base patterns.
    9. The following definition shall apply only to Satellite Bases:
    "Home Base" means the base to which the Flight Attendant is
    stationed at the time of the award of a Satellite Base position.
    10. Both parties shall work in good faith to finalize the details of a Satellite
    Base program no later than nine (9) months following date of signing of
    the Flight Attendant Agreement.
